Terms & Conditions
Last Updated: 31 July 2025 | Effective Date: 31 July 2025
1. Definitions
2. Acceptance of Terms
By using our website or enrolling in a course, you agree to be bound by these terms. If you do not agree, you should not use our website or enrol.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement in Malaysia to enrol in any course. By enrolling, you confirm that you meet these requirements.
3. Service Description
Gradient Owl provides online AI development education through cohort-based courses delivered in English. Courses include live sessions (delivered remotely), recorded replays, exercise materials, forum access, instructor feedback and, where specified, cloud compute credits and mentor calls.
Courses are available to participants globally but are administered from Malaysia. Live sessions run on Malaysian Time (MYT, UTC+8). Access to course materials is through our online platform and is contingent on enrolment remaining in good standing.
4. Enrolment and Accounts
Enrolment is confirmed upon receipt of full payment and issuance of a confirmation email. Access to course materials is provided following confirmation.
You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account. Sharing account access with another person is not permitted.
We reserve the right to terminate an enrolment where a learner engages in conduct that disrupts the course or other learners, or where payment is not completed as agreed.
5. User Responsibilities
You agree to use our website and course materials for lawful purposes only. Prohibited activities include:
- Sharing course materials, recordings or notebooks with people outside your cohort without written permission
- Reproducing or redistributing course content commercially
- Submitting another person's work as your own in exercises or projects
- Conduct in forums or sessions that is abusive, harassing or disruptive to other participants
- Attempting to reverse-engineer or copy the structure of course materials for commercial use
6. Intellectual Property
All course Content — including notebooks, exercise materials, recordings, written feedback and curriculum structure — is the intellectual property of Gradient Owl and is protected under Malaysian copyright law.
Enrolled learners are granted a limited, personal, non-transferable licence to access and use course Content for their own learning during the enrolment period. This licence does not include the right to copy, distribute or publish Content.
Code and notebooks you produce as part of your coursework remain your own intellectual property. By submitting them for instructor review, you grant Gradient Owl a limited licence to read and comment on that work for the purpose of providing feedback.
7. Payment Terms
Course fees are quoted in Malaysian Ringgit (RM). Payment is due prior to course commencement unless an instalment arrangement has been agreed in writing. Accepted payment methods are communicated during the enrolment process.
Cancellation and refund policy: If you withdraw before the course start date, you may request a refund of fees paid, less an administrative fee equivalent to 10% of the course price. No refunds are available after the course has commenced. If we cancel a cohort for any reason, full fees paid will be refunded or credited to a future cohort at your option.
HRD Corp claimable courses: it is your responsibility to submit any HRD Corp claim within the applicable timeframe. We will provide the required documentation. Reimbursement timelines are determined by HRD Corp.
8. Course-Specific Terms
Completion records: A completion record is issued upon completion of the final project assessment to the satisfaction of the instructor. Completion records describe the work completed and assessment criteria and are not equivalent to an academic qualification.
Session attendance: Live sessions are not mandatory but are strongly recommended. Recordings are available but instructor questions raised during live sessions may not be reproduced in full in recordings.
Cloud compute credits: Where included, compute credits are allocated at the start of the course and are subject to the terms of the infrastructure provider. Unused credits do not carry over or convert to cash value.
Academic integrity: Exercises and projects should represent your own work. Where generative AI tools are used as part of the coursework process, this should be disclosed in the submission. Wholesale submission of generated content as original work is a breach of these terms.
9. Disclaimers
Courses are provided on an "as is" basis. We do not make any representations about specific outcomes, employment results or earnings that may arise from completing a course. Individual outcomes depend on a learner's prior knowledge, effort and application of what is learned.
Course content reflects the state of the relevant tools and frameworks at the time of writing. The AI field moves quickly and some material may become dated between curriculum revisions.
10. Limitation of Liability
To the extent permitted by Malaysian law, Gradient Owl's total liability to you in connection with any course shall not exceed the fees paid by you for that course.
We are not liable for indirect, consequential, or incidental losses arising from your use of or inability to use course materials or services, including loss of data, loss of profit, or business interruption.
We are not liable for service disruptions caused by circumstances outside our reasonable control, including infrastructure outages, natural disasters or government actions.
11. Indemnification
You agree to indemnify and hold harmless Gradient Owl and its instructors from any claim, loss or expense arising from your breach of these terms, your misuse of course materials, or your violation of any law in connection with your use of our services.
12. Termination
Either party may terminate the enrolment agreement with written notice. If you withdraw before course commencement, the refund policy in Section 7 applies. If Gradient Owl terminates your enrolment due to a breach of these terms, no refund will be issued.
On termination, your access to course materials will be removed. Sections 6, 9, 10, 11 and 13 survive termination.
13. Dispute Resolution and Governing Law
These terms are governed by the laws of Malaysia. Any dispute arising from these terms will first be subject to an informal resolution attempt by contacting us at [email protected]. We will respond within 14 days.
If informal resolution is not achieved within 30 days, either party may refer the dispute to the courts of Malaysia, and you submit to the non-exclusive jurisdiction of the courts of Selangor.
14. General Provisions
Entire agreement: These terms, together with any enrolment confirmation, constitute the entire agreement between you and Gradient Owl for course services.
Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
Waiver: Failure to enforce any provision of these terms does not constitute a waiver of that provision.
Assignment: You may not assign your rights under these terms without our written consent. We may assign our rights to a successor entity operating the same courses.
15. Changes to These Terms
We may update these terms from time to time. Material changes will be communicated to enrolled learners by email at least 14 days before taking effect. Continued enrolment after the effective date constitutes acceptance of the updated terms.
